Introduction

Welcome to Marasi ("Marasi", "Platform", "we", "our", or "us"), an AI-powered e-commerce and business management platform operated by TAQON Powered by Intelligence and its affiliates ("Company").

Marasi enables businesses, merchants, entrepreneurs, and other users to create, manage, market, and operate digital storefronts and related commercial activities through WhatsApp and other digital channels using artificial intelligence and related technologies.

These Terms and Conditions ("Terms") govern your access to and use of the Marasi platform, website, mobile applications, APIs, integrations, WhatsApp-based services, content, software, features, functionalities, and any related products or services provided by the Company (collectively, the "Services").

By accessing, registering for, subscribing to, interacting with, or otherwise using any part of the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, as amended from time to time. If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.

2. Definitions

"Platform" shall mean the Marasi e-commerce platform, including all related software, source code, user interfaces, database structures, and services, made available via the website located at https://marasi.ai (including any subdomains, mobile applications, or successor URLs) and integrated third-party communication channels, including but not limited to the Marasi WhatsApp automated interface, APIs, or business accounts.

"TAQON" denotes the trade name under which the corporate developer, TAQON Powered by Intelligence, owns, controls, and operates the Platform. All right, title, and interest in the Platform “Marasi”, its underlying software, infrastructure, and operational workflows, are vest exclusively in said corporate developer.

"Seller" or "Merchant" shall mean any individual, sole proprietorship, or legal corporate entity that registers an account and establishes a digital storefront ("Shop") on the Platform for the purpose of advertising, offering, selling, or distributing products or services to end-users.

"Buyer" or "Customer" shall mean any individual or legal entity who accesses, browses, interacts with, or initiates or completes a transaction to purchase products or services from any Merchant’s storefront via the Platform (including the web interface and WhatsApp channels).

"Shop" or "Storefront" shall mean the distinct, digital space and interface allocated to, created, and managed by a Merchant on the Platform (including web-based landing pages at marasi.ai and corresponding automated setups on WhatsApp) through which the Merchant displays, markets, and sells its products or services.

"AI Assistant" shall mean the automated, algorithmic, and artificial intelligence driven features, modules, and tools integrated into the Platform (including both web and WhatsApp interfaces) designed to facilitate commercial operations, including but not limited to automated product description generation, voice command transcription, language translation, data analysis, and conversational commerce assistance.

" WhatsApp Services" shall mean the functionalities, automated features, and conversational commerce tools of the Platform that are deployed, transmitted, or made accessible to Users through the WhatsApp messaging application via official application programming interfaces (APIs), business accounts, or integrated automated chat systems.

3. Eligibility and Account Registration

3.1 Seller Eligibility

To register for and use the Platform as a Seller, Merchant, or business user, you represent and warrant that you:

Are at least eighteen (18) years of age and possess the legal capacity to enter into binding contracts, or are duly authorized to act on behalf of a legally established business entity in the applicable jurisdiction; unless approved by the authorities for trades such as “Dubai Traders Initiatives”;

Have obtained and shall maintain all licenses, permits, registrations, approvals, and authorizations required to conduct your business activities and sell your products or services through the Platform;

Provide complete, accurate, current, and truthful business, personal, and registration information, and undertake to promptly update such information in the event of any changes;

Maintain an active WhatsApp account in a jurisdiction supported by the Platform;

Maintain a valid and operational email address for account administration, communications, notices, and verification purposes;

Have not previously been suspended, restricted, terminated, or otherwise prohibited from accessing or using the Platform by the Company.

3.2 Buyer Eligibility

To register for and use the Platform as a Buyer or Customer, you represent and warrant that you:

Are at least eighteen (18) years of age and possess the legal capacity to enter into binding contracts, or are using the Platform under the supervision and with the consent of a parent or legal guardian;

Maintain an active WhatsApp account;

Provide a valid, accurate, and current email address and any other information reasonably requested by the Company.

3.3 Account Security

Each User is solely responsible for maintaining the confidentiality, security, and integrity of their account credentials, authentication methods, WhatsApp account, telephone number, and any associated devices used to access the Platform.

The User shall be fully responsible for all activities conducted through their account, whether authorized or unauthorized. Users must immediately notify the Company of any actual or suspected unauthorized access, security breach, misuse, or compromise of their account by contacting: [email protected], [email protected]

The Company shall not be liable for any loss, damage, liability, or unauthorized activity resulting from the User's failure to maintain adequate account security or promptly report a security incident.

4. Service Description

Marasi provides an AI-powered commerce platform that enables Sellers to create, manage, market, and operate digital storefronts through WhatsApp and other supported channels.

Subject to these Terms and the continued availability of applicable third-party services, the Platform may include, without limitation, the following features and functionalities:

Creation, management, and operation of digital storefronts through WhatsApp and other supported communication channels;

AI-assisted product catalogue creation and listing generation based on images, text, voice inputs, or other content provided by Users;

Voice-command processing and business management functionality in multiple supported languages;

AI-generated product descriptions, marketing content, promotional materials, coupon codes, and other commerce-related content;

Automated translation of storefront content, product information, and customer communications into supported languages;

Integration with third-party payment service providers, including but not limited to Stripe, PayPal, M-Pesa, cash-on-delivery solutions, and other payment methods that may be supported from time to time;

Business intelligence, analytics, reporting, and financial performance dashboards;

Order management, transaction tracking, customer communications, and WhatsApp-based notifications;

Any additional products, services, tools, features, integrations, APIs, artificial intelligence capabilities, or functionalities that Marasi may introduce, modify, suspend, or discontinue from time to time.

The Company reserves the right, at its sole discretion and without prior notice, to modify, suspend, restrict, replace, remove, or discontinue any feature, functionality, integration, service, communication channel, or aspect of the Platform at any time. The availability of any feature may depend on geographic location, regulatory requirements, third-party providers, technical limitations, subscription plans, or other factors determined by the Company.

Nothing in these Terms shall be construed as a guarantee that any specific feature, functionality, integration, or service will remain available for any period of time.

5. Seller Obligations

5. Seller Obligations and Responsibilities

As a Seller, Merchant, or business user of the Platform, you represent, warrant, and undertake that you shall:

Provide complete, accurate, current, lawful, and non-misleading information regarding your products, services, pricing, inventory, specifications, descriptions, images, and promotional materials;

Offer for sale only those products and services that you are legally authorized to market, distribute, and sell under all applicable laws, regulations, licenses, permits, and approvals;

Comply at all times with all applicable local, federal, national, and international laws, regulations, industry standards, and governmental requirements, including but not limited to consumer protection, e-commerce, privacy, advertising, product safety, customs, sanctions, tax, anti-money laundering, and import/export regulations;

Maintain accurate inventory records and ensure that all listed products and services remain available for fulfilment;

Promptly process, fulfil, dispatch, and complete customer orders in accordance with the delivery timelines communicated to Buyers;

Respond to Buyer inquiries, complaints, refund requests, and customer service matters in a timely, professional, and commercially reasonable manner;

Ensure that all products and services supplied to Buyers conform to the descriptions, specifications, representations, and warranties provided by the Seller;

Refrain from listing, promoting, marketing, or selling any prohibited, restricted, unlawful, counterfeit, infringing, unsafe, or otherwise unauthorized products or services through the Platform;

Provide and maintain accurate business registration, licensing, tax, banking, and identification information as may be required by the Company or applicable law.

The Seller acknowledges and agrees that Marasi acts solely as a technology and platform provider and does not own, possess, store, inspect, manufacture, distribute, ship, deliver, endorse, certify, or guarantee any products or services offered through the Platform.

The Seller shall bear sole and exclusive responsibility for product quality, inventory management, storage, packaging, shipping, delivery, returns, refunds, warranties, regulatory compliance, customer support, and all interactions with Buyers.

Marasi shall have no liability whatsoever for any failure by a Seller to fulfil an order, delays in shipment or delivery, defective products, inaccurate listings, customer complaints, returns, refunds, chargebacks, regulatory violations, or any dispute arising between a Seller and a Buyer.

The Seller shall be solely liable for any loss, damage, claim, penalty, fine, chargeback, refund, regulatory action, or legal proceeding arising from or relating to the Seller's products, services, business activities, or failure to comply with these Terms or applicable law.

6. Subscription Fees, Payments, and Billing

Access to certain features of the Platform may be subject to subscription fees, service charges, or other fees as determined by Marasi from time to time.

Sellers shall pay the applicable subscription fees specified by Marasi for access to and use of the Platform. Subscription fees shall be billed in advance on a recurring basis in accordance with the selected subscription plan.

Unless otherwise expressly stated by Marasi, subscriptions shall automatically renew for successive billing periods, and the Seller authorizes Marasi and its designated payment providers to charge the applicable subscription fees using the payment method on file.

Marasi currently does not charge any commission on completed sales conducted through the Platform, and Sellers retain ownership of the revenue generated from their sales. Notwithstanding the foregoing, Marasi reserves the right, at its sole discretion, to introduce, modify, suspend, or remove commissions, transaction fees, service fees, or other charges at any time in accordance with these Terms.

Payment processing services are provided exclusively by independent third-party providers, including but not limited to Stripe, PayPal, M-Pesa, and other payment processors that may be supported from time to time. All payment processing fees, transaction fees, currency conversion fees, chargeback fees, reserve requirements, withholding amounts, penalties, and other charges imposed by such providers shall be borne solely by the Seller.

Marasi is not a bank, financial institution, money transmitter, payment processor, escrow agent, or custodian of funds and does not receive, hold, safeguard, or control payment funds unless expressly stated otherwise. Marasi shall have no liability for payment failures, delayed settlements, frozen accounts, chargebacks, fraud investigations, reserve requirements, withheld funds, processor outages, or any actions taken by a payment service provider.

All subscription fees, service fees, and other charges paid to Marasi are non-refundable except where required by applicable law or expressly approved by Marasi in writing.

Marasi reserves the right to modify subscription plans, pricing structures, billing cycles, payment terms, features, and service offerings at any time. Any such changes may become effective upon publication on the Platform or on such date as determined by Marasi. Continued use of the Platform following the effective date of such changes shall constitute acceptance thereof.

Sellers shall be solely responsible for all taxes, duties, levies, withholdings, VAT, GST, sales taxes, and other governmental charges arising from their use of the Platform or the sale of their products and services.

Marasi reserves the right to suspend, restrict, or terminate access to the Platform in the event of failed payments, chargebacks, payment disputes, suspected fraud, or any breach of these Terms.

7. Prohibited Products and Activities

The Seller shall not use the Platform to advertise, market, offer, distribute, or sell any products, services, or content that are unlawful, prohibited, restricted, misleading, fraudulent, harmful, or otherwise deemed inappropriate by Marasi in its sole discretion.

Without limitation, the following products, services, and activities are strictly prohibited:

Illegal goods, including narcotics, controlled substances, drug paraphernalia, and products requiring governmental authorization that has not been obtained;

Weapons, firearms, ammunition, explosives, military equipment, or regulated defence-related products;

Counterfeit, pirated, unauthorized, stolen, or unlawfully acquired goods;

Hazardous materials, toxic substances, dangerous chemicals, or regulated substances;

Live animals, wildlife products, or products prohibited under applicable environmental or wildlife protection laws;

Adult content, sexually explicit materials, escort services, or other age-restricted content prohibited by applicable law;

Products, services, or content that infringe, misappropriate, or violate any intellectual property, privacy, publicity, or proprietary rights of any third party;

Products or services prohibited under the laws and regulations of the United Arab Emirates, the Seller's jurisdiction, the Buyer's jurisdiction, or any applicable regulatory authority;

Any product, service, or activity that may expose Marasi, its affiliates, payment processors, service providers, or users to legal, regulatory, reputational, financial, or operational risk.

In addition, Sellers shall not:

Engage in money laundering, terrorist financing, fraud, deceptive practices, sanctions violations, or any unlawful financial activity;

Manipulate, falsify, interfere with, or otherwise misuse reviews, ratings, analytics, customer feedback, or platform metrics;

Use artificial intelligence, automated content generation, or other technologies to misrepresent products, services, pricing, quality, availability, or other material characteristics;

Send unsolicited communications, spam, abusive messages, deceptive marketing communications, or engage in harassment through WhatsApp or any other communication channel;

Circumvent, interfere with, reverse engineer, disrupt, or misuse any aspect of the Platform or its security mechanisms.

Marasi reserves the right, but not the obligation, to review, monitor, restrict, suspend, reject, remove, or disable any Shop, product listing, content, transaction, or account at any time and without prior notice where it reasonably believes that a violation of these Terms, applicable law, or platform policies has occurred or may occur.

8. Payments and Transactions

The Platform may facilitate integrations with third-party payment service providers, including but not limited to Stripe, PayPal, M-Pesa, cash-on-delivery providers, and other payment methods that may be supported from time to time.

All payment processing services are provided exclusively by independent third-party providers and are subject to their respective terms, conditions, policies, compliance requirements, and operational procedures.

Marasi is not a bank, financial institution, money transmitter, payment processor, escrow service, custodian, or marketplace operator and does not receive, hold, safeguard, control, or manage funds on behalf of Buyers or Sellers unless expressly stated otherwise.

The Seller acknowledges and agrees that payment processors may impose transaction fees, processing fees, chargeback fees, reserve requirements, account restrictions, rolling reserves, withholding requirements, compliance reviews, or other charges and actions, all of which shall be the sole responsibility of the Seller.

For cash-on-delivery transactions, the Seller assumes all risks relating to payment collection, delivery, non-payment, fraud, refusal of delivery, returns, and customer disputes.

Sellers shall be solely responsible for calculating, collecting, reporting, remitting, and paying all applicable taxes, duties, levies, customs charges, VAT, sales taxes, withholding taxes, and other governmental charges arising from their use of the Platform or sale of products and services.

Refunds, reversals, disputes, chargebacks, and payment claims shall be resolved directly between the Buyer, Seller, and the applicable payment service provider. Marasi shall have no responsibility or liability for any payment-related dispute, loss, delay, fraud, failed transaction, unauthorized transaction, or chargeback.

Marasi makes no representation or warranty regarding the availability, performance, security, accuracy, timing, or reliability of any payment service provider and shall not be liable for any interruption, suspension, delay, settlement failure, processor action, account freeze, withheld funds, or other actions taken by any third-party payment provider.

Marasi reserves the right to suspend, restrict, delay, reject, or cancel transactions, listings, or accounts where required by law, regulatory obligations, payment processor requirements, fraud prevention measures, risk management policies, or these Terms.

9. AI Assistant and Generated Content

The Platform may utilize artificial intelligence, machine learning models, automation tools, and related technologies ("AI Services") to assist Users in creating, managing, and operating their Shops.

AI Services may include, without limitation:

Product description generation;

Marketing content generation;

Translation services;

Voice command processing and transcription;

Product categorization and recommendations;

Analytics, insights, and operational assistance.

The User acknowledges and agrees that:

AI-generated outputs are generated based on information, images, voice inputs, prompts, and other content provided by Users;

AI-generated outputs may contain inaccuracies, omissions, mistranslations, hallucinations, biases, errors, or unintended results;

AI-generated outputs are provided solely for informational and operational assistance purposes and do not constitute professional, legal, financial, tax, regulatory, medical, or business advice;

Users are solely responsible for reviewing, verifying, validating, approving, and publishing any AI-generated output prior to use;

Marasi makes no representation, warranty, or guarantee regarding the accuracy, reliability, legality, completeness, merchantability, fitness for purpose, or suitability of any AI-generated output;

Marasi may record, log, monitor, retain, and analyse AI interactions, prompts, commands, and outputs for quality assurance, security, compliance, training, auditing, product improvement, and operational purposes.

To the fullest extent permitted by law, Marasi shall not be liable for any losses, damages, liabilities, claims, penalties, regulatory actions, business interruptions, or disputes arising from or relating to any AI-generated output or AI-assisted action.

10. WhatsApp Terms Compliance

Marasi operates using services provided by third-party platforms, including WhatsApp and Meta.

Users shall comply at all times with:

WhatsApp Terms of Service;

WhatsApp Business Policies;

WhatsApp Commerce Policies;

Meta Platform Terms and Policies;

Any applicable policies, requirements, restrictions, or guidelines imposed by third-party service providers integrated with the Platform.

The availability and functionality of the Platform may depend upon services operated by third parties. Marasi has no control over and assumes no responsibility for the actions, decisions, policies, outages, restrictions, suspensions, or enforcement measures of WhatsApp, Meta, or any third-party provider.

Marasi shall not be liable for account suspensions, messaging restrictions, content removals, delivery failures, service interruptions, policy enforcement actions, or any other actions taken by third-party providers.

11. Privacy and Data

Marasi may collect, process, store, analyze, transmit, and use personal data, business information, transaction records, communications, analytics, and operational data in accordance with its Privacy Policy and applicable law. Users grant Marasi the right to create and use aggregated, anonymized, de-identified, and statistical data for analytics, benchmarking, research, product improvement, security, artificial intelligence training, and business purposes.

12. Intellectual Property

All rights, title, and interest in and to the Platform, software, source code, APIs, AI models, trademarks, branding, documentation, interfaces, designs, databases, and related intellectual property shall remain the exclusive property of TAQON Powered by Intelligence and its licensors. Sellers retain ownership of their original content but grant Marasi a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify, process, display, distribute, and use such content for the operation, improvement, promotion, security, and provision of the Platform.

13. Disclaimer of Warranty

The platform, ai services, content, features, and all related services are provided on an "as is," "as available," and "with all faults" basis. Marasi disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, title, accuracy, reliability, availability, or security.

14. Limitation of Liability

To the maximum extent permitted by law, Marasi, Taqon powered by intelligence, its affiliates, officers, directors, employees, contractors, licensors, and service providers shall not be liable for any indirect, incidental, special, exemplary, consequential, punitive, or loss-of-profit damages. In no event shall the aggregate liability of Marasi exceed the total subscription fees paid by the user to Marasi during the three (3) months immediately preceding the event, giving rise to the claim.

15. Indemnification

Users shall defend, indemnify, and hold harmless Marasi, TAQON Powered by Intelligence, its affiliates, officers, directors, employees, contractors, licensors, and partners from and against any claims, losses, liabilities, damages, penalties, fines, costs, expenses, and legal fees arising out of or relating to the User's products, services, content, activities, transactions, violation of law, breach of these Terms, or infringement of any third-party rights.

16. Account Suspension and Termination

Marasi may suspend, restrict, deactivate, remove, or terminate any account, Shop, listing, content, integration, feature, or access to the Platform at any time, with or without notice, and for any reason or no reason, including where Marasi believes that a User has violated these Terms, applicable law, third-party policies, or presents legal, regulatory, financial, reputational, operational, or security risk. Upon termination, subscription fees shall remain non-refundable, outstanding obligations shall survive termination, and Marasi may retain data as required by law, regulatory obligations, legitimate business interests, or record-retention requirements.

17. Governing Law and Dispute Resolution

Governing Law. These Terms and Conditions, and any non-contractual obligations arising out of or in connection with them, shall be governed by, and construed in accordance with, the laws of the United Arab Emirates and the applicable laws of the Emirate of Dubai.

Amicable Settlement. In the event of any dispute, controversy, or claim arising out of or in connection with these Terms, including any question regarding their existence, validity, interpretation, performance, or termination (a "Dispute"), the Parties shall first attempt to resolve the matter amicably through good-faith negotiations.

Arbitration. If the Dispute is not resolved within thirty (30) days from the date on which either Party gives written notice to the other requesting negotiations, the Dispute shall be referred to and finally resolved by binding arbitration administered by the Dubai International Arbitration Centre (DIAC) in accordance with the DIAC Arbitration Rules in force at the time the arbitration is commenced, which Rules are deemed to be incorporated by reference into this clause.

Procedural Matters. For the purposes of any arbitration commenced under Clause 12.3:

The number of arbitrators shall be one (1).

The legal seat of the arbitration shall be Dubai, United Arab Emirates (Note: Change to "Dubai International Financial Centre (DIFC)" if you prefer common-law court supervision).

The physical venue or place of the arbitration hearings shall be Dubai, UAE, unless the tribunal directs that hearings take place virtually.

The language of the arbitration shall be English.

Interim and Injunctive Relief. Notwithstanding the agreement to arbitrate, either Party may apply to any competent court in Dubai for interim, injunctive, conservatory, or enforcement relief, including the recognition and enforcement of any arbitral award.

18. Amendments to Terms and Platform

The Company reserves the right, at its sole and absolute discretion, to amend, modify, update, supplement, replace, suspend, or remove any provision of these Terms and Conditions, as well as any feature, functionality, service, content, pricing structure, or aspect of the Platform, at any time and for any reason, with or without prior notice to Users.

Any such amendment or modification shall become effective immediately upon its publication on the Platform, unless a different effective date is specified by the Company. The Company shall not be obligated to provide individual notice of any amendment, modification, or update, and Users acknowledge and agree that it is their sole responsibility to review the Terms periodically to remain informed of any changes.

The User's continued access to, use of, or interaction with the Platform following the publication or implementation of any amendment shall constitute the User's irrevocable acceptance of the amended Terms. If the User does not agree with any amendment, the User's sole remedy shall be to discontinue use of the Platform.

Nothing in these Terms shall be construed as creating any obligation on the Company to maintain, support, continue, or make available any specific feature, functionality, service, integration, pricing model, or aspect of the Platform.

19. Force Majeure

Marasi, TAQON Powered by Intelligence, its affiliates, officers, employees, contractors, licensors, and service providers shall not be liable for any delay, interruption, suspension, degradation, failure, or inability to perform any obligation under these Terms where such delay, interruption, suspension, degradation, failure, or inability results from circumstances beyond its reasonable control.

Such circumstances may include, without limitation:

Acts of God, natural disasters, floods, earthquakes, storms, fires, epidemics, pandemics, or public health emergencies;

War, armed conflict, terrorism, civil unrest, riots, labour disputes, strikes, lockouts, or governmental actions;

Internet outages, telecommunications failures, network congestion, power outages, utility failures, or cyberattacks;

Failures, interruptions, restrictions, suspensions, policy changes, or actions by third-party service providers, including but not limited to WhatsApp, Meta, Stripe, PayPal, M-Pesa, cloud hosting providers, internet service providers, payment processors, data centers, software vendors, and infrastructure providers;

Regulatory actions, legal restrictions, sanctions, embargoes, court orders, or changes in applicable laws;

Technical failures, security incidents, system maintenance, software defects, hardware failures, or other events beyond Marasi's reasonable control.

During the occurrence of a Force Majeure event, Marasi shall be entitled to suspend, restrict, modify, or discontinue any part of the Platform without liability. Marasi shall not be liable for any losses, damages, delays, business interruptions, lost profits, data loss, or other consequences arising from such Force Majeure event.

20. Platform Modifications and Service Changes

Marasi continuously develops, improves, and modifies its products and services. Accordingly, Marasi reserves the right, at its sole and absolute discretion, and without prior notice, to:

Modify, update, enhance, replace, suspend, restrict, discontinue, remove, or otherwise alter any feature, functionality, service, integration, communication channel, API, artificial intelligence capability, payment method, subscription plan, pricing structure, or component of the Platform;

Introduce new products, services, features, limitations, usage restrictions, eligibility requirements, technical specifications, or operational procedures;

Modify or discontinue support for any third-party integrations, including but not limited to WhatsApp, Meta services, Stripe, PayPal, M-Pesa, payment gateways, cloud services, or other external providers;

Implement maintenance activities, upgrades, security measures, risk controls, fraud prevention mechanisms, or compliance requirements;

Restrict, suspend, or terminate access to specific features, services, geographic regions, user categories, industries, or jurisdictions.

The User acknowledges and agrees that:

The availability of any feature or functionality is not guaranteed and may change from time to time;

Marasi is under no obligation to maintain, support, update, or continue providing any specific feature, functionality, integration, service, subscription plan, or communication channel;

Any modification, suspension, restriction, replacement, or discontinuation of the Platform or any part thereof shall not give rise to any claim, refund, compensation, damages, or liability against Marasi.

Continued access to or use of the Platform following any modification shall constitute the User's acceptance of such modification.

21. Electronic Communications and Notices

The User consents to receive all notices, disclosures, communications, agreements, amendments, policies, and other information electronically through the Platform, WhatsApp, email, SMS, or any other communication method designated by Marasi.

The User acknowledges and agrees that electronic communications satisfy any legal requirement that such communications be provided in writing.

Marasi reserves the right, but not the obligation, to provide notice of changes to the Platform, subscription plans, pricing, policies, or these Terms. The User is solely responsible for periodically reviewing the Platform and applicable policies for updates.

Failure by the User to review any modification shall not affect the enforceability of such modification.

22. Entire Agreement and Severability

Entire Agreement

These Terms, together with the Privacy Policy and any additional policies, guidelines, or agreements referenced herein, constitute the entire agreement between the User and Marasi concerning the use of the Platform and supersede all prior discussions, representations, understandings, and agreements.

Severability

If any provision of these Terms is determined by a court, tribunal, or competent authority to be unlawful, invalid, unenforceable, or void, such provision shall be deemed severed from these Terms and shall not affect the validity, legality, or enforceability of the remaining provisions, which shall remain in full force and effect.

23. No Waiver

No failure, delay, or omission by Marasi in exercising any right, power, remedy, or privilege under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right preclude any further exercise of such right or the exercise of any other right.

24. Survival

Any provisions of these Terms which by their nature should survive termination, suspension, expiration, or cancellation of the User's account or access to the Platform shall survive, including without limitation provisions relating to intellectual property, data rights, disclaimers, limitation of liability, indemnification, dispute resolution, governing law, payment obligations, audit rights, and confidentiality.
